About these terms
BridgeOps is a business of Bridge Intelligence LLC, an Ohio limited liability company ("BridgeOps," "we," "us," or "our"). We build and run digital systems for businesses, including websites, customer intake and follow-up, Google and social media presence, review management, reporting, and a client portal where you can see and approve our work.
These Terms of Service ("Terms") govern your use of our website at bridgeskillconnect.com, our client portal, our free audit tool, and every service we provide. You accept these Terms when you create an account, submit a request, sign a proposal or service agreement, or pay for a service. If you accept on behalf of a business, you confirm that you have authority to bind that business, and "you" means the business.
Definitions
Order: the document that sets your specific services, price, billing date, and any minimum term or guarantee. An Order may be a signed proposal, a service agreement, a scope approved in the portal, or the plan you select at checkout.
Scope: the written description of the work we will perform under your Order.
Services: the work described in your Order and Scope, together with the portal and any tools we provide to you.
Portal: the signed-in area of our website where you view progress, approve work, message us, and connect accounts.
Client Content: materials you provide to us, including text, images, logos, customer lists, prices, and business information.
Client Data: personal information about your customers or prospects that we handle while providing the Services.
Deliverables: finished work made specifically for your business under your Order.
Connected Accounts: third-party accounts you authorize us to access, such as Google, Meta, or your customer relationship management system.
How your Order and these Terms fit together
Your Order, these Terms, and our Privacy Policy together form the agreement between you and BridgeOps (the "Agreement"). If your Order and these Terms conflict, your Order controls for that specific point. If you have more than one Order, each Order stands on its own for its own services.
Eligibility
Our Services are for businesses and professionals. You must be at least 18 years old and able to enter a binding contract to create an account or buy a Service. You may not use the Services if you are barred from doing so under applicable law.
Your account and portal access
You are responsible for keeping your portal login secure and for all activity under your account. Use a strong password or sign in with Google, and do not share your login outside your business. Tell us right away at admin@bridgeskillconnect.com if you believe someone else has accessed your account. You may add team members only if your Order allows it, and you are responsible for their use of the Portal.
We may add, change, or retire Portal features over time. Features labeled as preview or beta are offered as is and may change without notice.
Getting started
After you place an Order, we will send an onboarding checklist that lists the access, content, and decisions we need from you. Work on your Scope begins once we have received the items the first stage of work requires. We will confirm your Scope in writing before any billable build work starts.
Services and scope
We perform the work described in your Order and Scope with reasonable skill and care, consistent with generally accepted practices for this kind of work. Work outside your Scope requires a written change request, which we will confirm with you, including any added cost and timing, before we begin. Small adjustments that do not change the effort involved may be made without a formal change request at our discretion.
We may use qualified contractors to help deliver the Services. We remain responsible for their work, and they are bound by confidentiality obligations at least as protective as these Terms.
Communication and response times
Our normal business hours are Monday through Friday, excluding major United States holidays. We aim to respond to Portal messages and email within 1 business day and to urgent issues that stop your customer intake as quickly as we reasonably can. The Portal is the official record of requests, approvals, and delivered work. Monthly plans include a written summary of work completed and the next priority, as your Order describes.
Approvals and revisions
When work is ready, we will ask for your approval in the Portal. Each Deliverable includes up to 2 rounds of reasonable revisions, unless your Order says otherwise. Additional revisions, or changes that alter the agreed direction, are treated as a change request. If an approval request is unanswered for 5 business days, we may pause the related work and move to the next item in your Scope. We will never publish or send client-facing material that requires your approval without it.
Fees, billing, and payment
Fees. Fees are stated in your Order. Monthly plans are billed in advance on your billing date through our payment processor, Stripe. One-time projects are billed as your Order describes.
Costs you pay separately. Unless your Order says otherwise, fees do not include advertising spend, text-message and phone usage charges, domain registration, paid software, stock imagery, or other third-party costs. You pay those directly to the provider, or we pass them through at cost with your prior approval.
Failed payments. If a payment fails, we will notify you. If it is not resolved within 7 days, we may pause work until your account is current. Pausing does not change your billing date or any minimum term.
Disputes about a charge. Please contact us before disputing a charge with your card issuer. We will review any billing question promptly and correct genuine errors.
Price changes. We may change prices for future billing periods with at least 30 days' written notice. A price change never applies during a minimum term you have already agreed to.
Taxes. Fees do not include sales or similar taxes, which we will add where the law requires.
Discounts and demonstration rates. Any discounted or demonstration rate applies only for the period stated in your Order.
Term, cancellation, and refunds
Your Order may include a minimum term. After any minimum term ends, your Services continue month to month until either of us cancels.
How to cancel. Send written notice to admin@bridgeskillconnect.com or through the Portal at least 14 days before your next billing date. Notice received later than that takes effect after the following billing period. If your Order includes a minimum term, cancellation takes effect at the end of that term unless your Order says otherwise.
All charges are non-refundable except as stated in your Order, and we do not issue refunds for partial months. We may cancel your Services for convenience with at least 30 days' written notice, in which case we will refund any fees you prepaid for periods after the cancellation date.
Build guarantee (only if your Order includes one)
If your Order includes a build guarantee, it works as follows. The agreed build list is the written list in your Scope. The guarantee period begins on the day we have received every access and item the list requires from you, and it pauses on any day we are waiting on you for access, content, or an approval, and during any outage of a third-party platform the list depends on. If we do not complete the agreed list within the stated period for reasons within our control, we will credit the next monthly fee as your Order describes. The credit is your sole remedy under the guarantee, and it applies once per client.
Suspension
We may suspend all or part of the Services, with notice where practical, if your account is past due as described in section 10, if continuing would violate the law or a platform's rules, if your account shows signs of unauthorized access, or if your use threatens the security of the Portal or other clients. We will restore the Services promptly once the issue is resolved.
Ending the relationship
Either of us may end the Agreement if the other materially breaks it and does not fix the problem within 10 days of written notice. We may also end it immediately if you ask us to do something unlawful or deceptive.
When the Agreement ends for any reason, we will:
transfer or return access to every account you own, and remove our access from your accounts;
deliver finished Deliverables you have paid for, in their current form; provide an export of your Portal data if you request it within 30 days; and delete or return Client Data as described in Appendix A.
Transition help beyond these items, such as moving your systems to another provider, is available at our standard rates. Sections that by their nature should continue after the Agreement ends will continue, including those covering payment owed, ownership, confidentiality, limits on liability, and dispute resolution.
What we need from you
Access. Grant access to the accounts we need, to our business address, as a user, editor, collaborator, or delegate wherever the platform allows. We will never ask you to send a password by text message or regular email. Where a platform requires a login, we will ask you to share it through a secure link.
Accurate information. Provide accurate information about your business, prices, hours, licenses, and services, and tell us promptly when anything changes.
Timely decisions. Answer questions and approval requests within the timeframes in section 9.
Rights to your content. Confirm that you own or have permission to use all Client Content, and that it does not infringe anyone's rights or break the law.
Lawful marketing. Hold your customers' permission for the emails and text messages sent on your behalf, honor opt-out requests, and make only truthful claims about your business. Section 18 explains the details.
Platform rules. Comply with the terms of the platforms you use, such as Google, Meta, and your phone and email providers.
Your accounts and branding stay yours
Your website domain, Google accounts, social media accounts, customer lists, phone numbers, and similar business accounts belong to you. Where possible, we set them up in your name. You can remove our access at any time, and doing so may stop related Services.
Emails, texts, and replies we send on your behalf go out under your business name and, where you have connected it, from your own email address or phone number. We do not add BridgeOps branding to your customer communications unless you ask us to in writing.
Connected accounts and sending on your behalf
When you connect an account in the Portal, you authorize us to access it only to the extent you approve on the provider's screen and only to provide your Services. If you connect your email account for sending, you authorize us to send messages from it that you have approved, or that an automation you have approved generates, such as inquiry confirmations and quote follow-ups. We will not read your inbox unless your Order expressly includes that service and you have approved that access.
You may disconnect any account in the Portal or in the provider's own settings at any time. Our Privacy Policy explains what we access from each provider and how long we keep it.
Marketing, messaging, and review rules
Several laws and platform rules govern marketing messages. Because the messages are sent for your business and to your customers, you remain responsible for the permissions behind them, and we will follow your instructions and these rules when we send them.
Text messages. You must have your customers' consent, as required by law, before we text them on your behalf, and we will include opt-out instructions and honor opt-outs. Business texting may also require registration with phone carriers, which we can complete with information you provide.
Email. Marketing emails will identify your business, include a valid physical address, and offer a working way to opt out.
Reviews. We request reviews from real customers only. We do not write, buy, filter, or offer incentives for reviews, and we do not ask only happy customers for public reviews where a platform prohibits that practice. Responses to reviews are written for your approval unless you authorize us to post routine replies.
Advertising. Ad campaigns run in your advertising accounts, under your payment method, and subject to each platform's advertising policies.
Websites, hosting, and domains
If your Order includes a website, your Scope will state where it is hosted, who holds the hosting and domain accounts, and what maintenance is included. Where your site runs on a hosting account you own, it remains in your control at all times. Where we host it, we will provide a copy of the site files and content you have paid for on request when the Agreement ends, subject to the license terms of any third-party themes, plugins, or tools used to build it.
Audits and the free audit tool
Our audits review publicly available information about a business and any information you provide. An audit reflects conditions at the time it is run, and results may change as websites, listings, and search results change. Scores and recommendations are our professional assessment, not a promise of any result. The free audit tool is provided as is, and you may use its results for your own business decisions. You may not use the tool to audit businesses you do not own or represent for resale, or to collect data at scale.
Ownership of work and materials
Your content. Client Content remains yours. You grant us a limited license to use it only to provide your Services.
Deliverables. Once you have paid for them in full, you own the Deliverables made specifically for your business, such as your website content, written materials, designs, and forms.
Our tools. We keep ownership of our platform, Portal, audit engine, templates, workflows, automations, code libraries, and know-how, including anything we build for use across clients. Where one of these is part of a Deliverable, you receive a permanent, non-exclusive license to use it for your own business.
Third-party materials. Stock images, fonts, themes, and software licensed from others remain subject to their own license terms.
Feedback. If you suggest improvements to our Services, we may use your suggestions without obligation to you.
Showing our work. We will name your business, show your work, or publish your results as a case study only with your written permission.
Artificial intelligence and automation
We use artificial intelligence tools and automated workflows to analyze information and draft reports, replies, and messages. A person at BridgeOps reviews client-facing material before it is sent, unless you have approved a specific automation to send on its own, such as an instant inquiry confirmation. We do not use Client Data or information from your Google accounts to train artificial intelligence models.
Results are not guaranteed
We commit to the work in your Scope and to doing it carefully. We cannot guarantee search rankings, review counts, lead volume, conversion rates, or revenue, because those depend on search engines, platforms, competitors, market conditions, and your customers, none of which we control.
Third-party platforms
Our Services rely on platforms such as Google, Meta, HighLevel, Stripe, phone carriers, and our hosting provider. Their terms apply to your use of them. We are not responsible for their outages, policy changes, account decisions, or changes to their features, although we will tell you promptly when one affects your Services and help you respond.
Things neither of us will do
We do not send spam, write or buy fake reviews, impersonate other businesses, make false claims, or run campaigns that break the law or a platform's rules. You may not use our Services or Portal for those purposes, to harass or discriminate against anyone, to send messages without the consent the law requires, to upload malicious code, to probe or disrupt the Portal's security, or to try to access another client's information.
Confidentiality
Each of us will keep the other's non-public business information confidential, use it only for this relationship, and share it only with people who need it to perform the Agreement and who are bound by similar obligations. This duty does not cover information that is already public, was already known to the recipient, is independently developed, or is received lawfully from someone else. If the law requires disclosure, the disclosing party will give notice where legally permitted. This duty continues for 3 years after the Agreement ends, and for as long as the information remains a trade secret.
Disclaimer
Except for the commitments stated in these Terms and your Order, the Services, the Portal, the audit tool, and our website are provided as is and as available. To the extent the law allows, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and we do not promise that the Portal will be uninterrupted or error-free.
Limit on liability
To the extent the law allows, neither party is liable to the other for lost profits, lost revenue, lost data, or indirect, incidental, special, or consequential damages, even if advised that such damages were possible. Our total liability for all claims relating to the Services is limited to the fees you paid us in the 3 months before the event that caused the claim. These limits do not apply to a party's fraud or willful misconduct, to breaches of confidentiality, or to amounts you owe us.
Responsibility for claims
You agree to defend and cover reasonable losses and costs we incur from a third-party claim arising out of Client Content, your products, services, offers, or business practices, or messages sent to your customers without the consent section 18 requires you to hold. We agree to defend and cover reasonable losses and costs you incur from a third-party claim that a Deliverable we created, excluding Client Content and third-party materials, infringes that party's intellectual property rights. The party seeking coverage must give prompt notice, allow the other party to control the defense, and cooperate reasonably.
Resolving disagreements
If a problem comes up, contact us first. Both of us will try in good faith to resolve it through direct discussion within 30 days of written notice. If we cannot, these Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws rules, and any lawsuit will be brought only in the state or federal courts serving Cuyahoga County, Ohio, which both of us accept. Either of us may instead use small claims court for any claim that qualifies. Nothing in this section prevents either of us from seeking urgent relief to protect confidential information or intellectual property.
Independent relationship
BridgeOps is an independent contractor. Nothing in the Agreement creates a partnership, joint venture, employment, or agency relationship, and neither of us may bind the other except as the Agreement expressly allows, such as sending approved messages on your behalf.
Electronic communications and signatures
You agree that we may communicate with you electronically, through email and the Portal, and that electronic approvals, signatures, and notices have the same effect as signed paper documents.
Changes to these Terms
We may update these Terms. For active clients, we will give at least 30 days' notice of any material change by email or in the Portal, and the change applies from your next billing period after that notice. If you do not agree to a change, you may cancel before it takes effect under section 11 without regard to any remaining minimum term. The effective date at the top shows the current version.
General
Entire agreement. The Agreement is the complete agreement between us about the Services and replaces earlier discussions on the same subject.
Events outside control. Neither of us is responsible for delays caused by events outside reasonable control, such as platform outages, internet failures, or natural disasters. This does not excuse payment obligations.
Transfer. You may not transfer the Agreement without our written consent. We may transfer it as part of a sale or reorganization of our business, with notice to you.
Severability and waiver. If a court finds any part unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver of it.
Headings. Headings are for convenience and do not change the meaning of any section.
Notices. Notices to us go to admin@bridgeskillconnect.com and 5309 Hamilton Avenue, Cleveland, OH 44114. Notices to you go to the email address on your account.

Appendix A: Client Data Processing Terms
This appendix applies whenever we handle Client Data for you, and it forms part of the Agreement.
A1. Roles
You decide why and how your customers' information is used. We process Client Data only on your behalf, only on your documented instructions (which include your Order, your Scope, and approved automations), and only to provide the Services.
A2. What we process
Client Data may include customers' and prospects' names, email addresses, phone numbers, mailing addresses, inquiry details, appointment details, job or quote information, photos they submit, message history, and review content.
A3. Our commitments
We do not sell Client Data, use it for our own marketing, or combine it with other clients' data except in anonymized form to operate and improve the Services.
People who access Client Data are bound by confidentiality obligations and have access only as needed. We protect Client Data with reasonable technical and organizational measures, including separation of each client's data, encryption of stored access credentials, secure connections, and access controls.
We use service providers to process Client Data, as listed by category in our Privacy Policy, under written obligations at least as protective as this appendix. We will update that list before adding a new category of provider.
A4. Security incidents
If we become aware of unauthorized access to Client Data, we will notify you without undue delay, and in any event within 72 hours, with the information we have, and we will take reasonable steps to contain it and help you meet any notification duties you have.
A5. Requests from your customers
If one of your customers asks us to access, correct, or delete their information, we will refer them to you and help you respond.
A6. Deletion and return
Within 60 days after the Agreement ends, we will delete Client Data or return it to you on request, except where the law requires us to keep it, in which case we will keep it confidential and use it for no other purpose.

These terms apply to text messages sent by BridgeOps to people who request information or services from BridgeOps.
Program. BridgeOps sends text messages about your request, scheduled calls, account notices, and service updates. Message frequency varies.
Consent. You receive texts only after you check the text-message consent box or otherwise agree. Consent is not a condition of any purchase.
Opting out. Reply STOP to any message to stop receiving texts. You will receive one confirmation message, and no further texts unless you opt in again.
Help. Reply HELP for help, or contact admin@bridgeskillconnect.com.
Costs. Message and data rates may apply according to your mobile plan.
Carriers. Mobile carriers are not liable for delayed or undelivered messages.
Privacy. Our Privacy Policy explains how we handle your information. We do not share your mobile number or text-message consent with third parties or affiliates for their marketing or promotional purposes.
Text messages that our clients send to their own customers through systems we operate are part of those clients' own messaging programs, under their own terms and consent practices.
